By using our website, requesting services, or entering into a project agreement, you (“Client,” “you,” or “your”) agree to comply with and be bound by these Terms. If you do not agree, you must discontinue use of our website and services immediately.
1. Introduction
Pixxen is a UI/UX design agency focused on creating user-centered digital experiences, including product design, interface design, research, and usability optimization.
These Terms establish the legal relationship between Pixxen and its Clients. Any additional documents, such as Proposals, Statements of Work (SOW), Contracts, or Service Packages form part of these Terms and must be read together.
2. Services Provided
Pixxen provides digital design and experience-related services, including but not limited to:

Branding Services
The exact scope of services is defined in writing before project commencement. Any work outside the agreed scope may incur additional fees with prior approval.
3. Independent Contractor Relationship
Pixxen operates strictly as an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship. We retain control over our internal processes, tools, and methodologies used to deliver services.
4. Payment Terms
Fees are outlined in the approved Proposal or Agreement. Unless otherwise stated:

Invoices are due within 7 days of issuance.

Projects may require an upfront deposit before work begins.

Late payments may result in paused work or delayed delivery.
Final deliverables may be withheld until outstanding balances are cleared.
4.1. Additional Costs
Any third-party expenses (e.g., stock assets, software licenses, testing tools, or external integrations) will be approved by the Client before being incurred and billed separately.
5. Project Process & Revisions
Pixxen follows a structured design workflow that may include discovery, research, wireframing, design, review, and refinement stages.

A defined number of revision rounds will be included in your proposal.

Additional revisions beyond scope may be billed at an agreed rate.

Approval at each milestone is required before moving forward.

Delays in feedback may affect project timelines.
6. Client Responsibilities
To ensure successful delivery, the Client agrees to:

Provide accurate project requirements, materials, and brand assets

Supply timely feedback and approvals

Ensure they have legal rights to all materials shared with Pixxen

Assign a single point of contact for communication

Review deliverables within agreed timelines
Pixxen is not responsible for delays caused by incomplete information or lack of communication.
7. Communication
We communicate via email, scheduled meetings, or project management platforms. While we strive for timely responses, we do not guarantee 24/7 availability unless included in a service agreement.
8. Timelines & Delivery
Project timelines are estimates unless explicitly guaranteed in writing.
Timelines may be affected by:

Scope changes or additional requests

Delayed client feedback or approvals

Technical constraints or third-party dependencies
Pixxen will communicate any adjustments transparently.
9. Intellectual Property Rights
9.1 Client Ownership
Upon full payment, the Client receives ownership of final approved deliverables, including:

Final UI designs and visual assets

Approved prototypes and layouts
-
Custom design elements created specifically for the project
9.2 Pixxen Ownership
Pixxen retains ownership of:

Pre-existing tools, frameworks, and workflows
-
Design methodologies and reusable components
-
Internal templates, research models, and processes
We reserve the right to display completed work in our portfolio unless restricted by written agreement.
10. Confidentiality
Both parties agree to maintain confidentiality of all sensitive information shared during the project, including business strategies, data, and proprietary materials.
We will not disclose Client information unless required to deliver services or comply with legal obligations.
11. Refund Policy
Pixxen believes in fair and transparent collaboration. Refunds may be issued under the following conditions:

If a project is canceled before work begins - a full refund may be provided.

If canceled after work has started - refunds are prorated based on work completed and resources used.

Deposits may be partially non-refundable if discovery or research has already been conducted.

No refunds will be issued for completed milestones that have been approved by the Client.
Refund requests must be submitted in writing.
12. Termination
Either party may terminate the agreement with written notice.
Pixxen may terminate immediately if:

Payments are not made as agreed

The Client breaches these Terms

The Client engages in unlawful or abusive conduct
Upon termination, all completed work up to that date will be delivered once outstanding invoices are settled.
13. Limitation of Liability
Pixxen provides services using professional skill and care but does not guarantee specific business outcomes such as increased revenue, engagement, or conversion rates.
To the fullest extent permitted by law:

Pixxen’s liability is limited to the amount paid for the services in question.

We are not liable for indirect, incidental, or consequential damages arising from use of our work.
14. Third-Party Tools & Integrations
Our work may involve third-party tools, platforms, or developer environments. Pixxen is not responsible for failures, downtime, or changes caused by these external services.
15. Dispute Resolution
If a dispute arises, both parties agree to attempt resolution through good-faith discussion. If unresolved, disputes may proceed to mediation or arbitration before litigation.
16. Changes to These Terms
Pixxen may update these Terms periodically. Updates will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of the jurisdiction in which Pixxen operates, unless otherwise agreed in writing.
18. Entire Agreement
These Terms, along with any Proposal or Service Agreement, represent the entire agreement between Pixxen and the Client and supersede prior communications.
